Closing an IFZA company is more involved if it’s still trading — with transactions, a bank account and outstanding liabilities — than if it’s dormant, because the closing accounts and audit reflect a live business rather than an empty shell (a dormant company is the simpler, lighter case). You then choose the scope: financial & tax closure (accounts, report, final VAT/CT returns and both deregistrations) or complete managed closure (plus the IFZA submissions, KYC, clearances, bank closure and cancellation certificate). A separate liquidator usually isn’t needed — and if the company holds visas, those are cancelled first.
Closing an IFZA company isn’t one fixed price or one fixed scope. Two things decide what you pay and what you get: whether the company is dormant or still trading, and whether you want just the financial and tax closure or a fully managed one. Here’s how to read both — without re-treading the full IFZA step-by-step process we’ve covered separately.
Dormant vs trading — the main difference
A dormant IFZA company — no real trading — is a light, simpler closure. An actively trading IFZA company — transactions, a bank account, outstanding liabilities — needs real closing accounts and an audit reflecting a live business, so it is a more involved, standard closure. Same free zone, very different amount of work. (Separate from any late-cancellation penalties, which apply if your licence has already expired.)
The extra steps a live IFZA company needs
- Closing accounts from your last financial statements to the closure date — not a nil, never-traded declaration.
- Settle outstanding liabilities first — IFZA cancellation is subject to liabilities cleared and clearances obtained.
- Reconcile and close the bank account.
- If there are visas, visa and establishment-card cancellation comes first — the licence can’t be cancelled until they are.

Financial & tax closure covers the accounts, the report and the FTA deregistrations through to the confirmation letters. Complete managed closure adds the IFZA portal submissions, KYC, clearances, bank-closure assistance and follow-up to the licence-cancellation certificate.
Liquidator, agent, auditor
- No separate liquidator is usually required — the auditor/liquidator documentation is included. The report is issued by a UAE-registered auditor; as an IFZA Registered Professional Partner, we can also submit it for you.
- Your existing accountant doesn’t duplicate work — if they hold your accounts, they only need records from the last statements date to closure.
IFZA first, then the FTA
The IFZA cancellation runs through visa/establishment-card cancellation (if any), the liquidation report and clearances — typically a few weeks once documents are complete. The FTA deregistrations follow: VAT within 20 business days of the licence-cancellation date, Corporate Tax within 90 days, with the FTA’s review generally taking 45–60 days. IFZA charges, bank charges and other third-party costs are payable at actual cost.

As an IFZA Registered Professional Partner and MoE-approved auditor, we prepare your closing accounts and liquidation report, file the final VAT and Corporate Tax returns and both deregistrations — and can manage the IFZA submissions, clearances and bank closure end to end.
Is closing a trading IFZA company more involved than a dormant one?
Yes. A dormant IFZA company with no real trading is a light, simpler closure. An actively trading company — with transactions, a bank account and outstanding liabilities — needs real closing accounts and an audit reflecting a live business, so it is a more involved, standard closure. This is separate from any late-cancellation penalties if the licence has already expired.
What's the difference between financial closure and managed closure for an IFZA company?
Financial and tax closure covers the final accounts, the liquidation report, the shareholder resolution, the final VAT and Corporate Tax returns and both deregistrations through to the confirmation letters. Complete managed closure adds the IFZA portal submissions and KYC, clearances coordination, bank-account closure assistance and follow-up until the licence-cancellation certificate is issued.
Do I need a separate liquidator to close an IFZA company?
Usually not. For a standard IFZA closure the necessary auditor and liquidator documentation is included, with no separate liquidator fee. The liquidation report is issued by a UAE-registered auditor, and an IFZA Registered Professional Partner can also submit it to IFZA on your behalf.
Do visas have to be cancelled before closing an IFZA company?
Yes, where the company holds visas. The visas and the establishment card must be cancelled before the licence can be cancelled — it is an early step in the IFZA closure sequence. A company with no company-sponsored visas skips this step, which also makes the closure quicker.
How long does it take to close an IFZA company?
The IFZA cancellation — through any visa and establishment-card cancellation, the liquidation report and clearances — typically takes a few weeks once the documents are complete. The FTA deregistrations follow: VAT within 20 business days of the licence-cancellation date and Corporate Tax within 90 days, with the FTA’s review generally taking 45 to 60 days.
