Why the 90-Day Window Matters

When a new company is incorporated in the UAE, the trade licence issuance triggers the clock for corporate tax registration. The FTA expects companies to register promptly after incorporation.

Within 90 days: The FTA treats the application as a timely new registration. The system processes it automatically with minimal manual review. The CT registration certificate is typically issued within 1 working day — sometimes within a few hours of submission on EmaraTax.

After 90 days: The FTA flags the application as potentially late. This triggers a manual review process where the FTA checks whether the company should have registered earlier. The reviewer may verify your licence details, check your first tax period, and assess whether a late registration penalty applies. This review takes up to 21 working days.

What Happens If You've Already Missed the 90-Day Window?

If your trade licence was issued more than 90 days ago and you haven't registered for CT yet, here's what to expect:

1. Apply immediately anyway. Every day you wait adds to the delay and increases the chance of a larger penalty. The 21-day review clock doesn't start until you submit the application. Register for CT from AED 199 →

2. Expect the AED 10,000 late registration penalty. The FTA may apply a late registration penalty of AED 10,000. This is a one-time penalty — not a monthly accumulator like the late filing penalty.

3. But the penalty may be waived. The FTA's penalty waiver initiative means the AED 10,000 late registration penalty is waived if you file your first CT return within 7 months of the end of your first tax period. Your first tax period is January–December 2025. The 7-month window ends on 31 July 2026. If you register for CT now (even late) and file your FY2025 return before 31 July 2026, the AED 10,000 late registration penalty is waived.
