If you hold a Dubai E-Trader / Trader licence, you generally do not need to register for Corporate Tax until your total business turnover exceeds AED 1 million in a calendar year. That’s because an E-Trader licence is issued to a natural person (a sole establishment), so it falls under the FTA’s natural-person Corporate Tax rules (Cabinet Decision 49 of 2023) — not the rule for companies, which must register regardless of turnover. Below AED 1 million, no CT registration is required; cross that line and registration becomes mandatory.
When Corporate Tax arrived, most people assumed it was a “company” thing. But it also reaches individuals running a business — freelancers, consultants, and E-Traders. The good news for small E-Traders is that the law treats you differently from a company, and gives you a generous threshold before anything kicks in.
An E-Trader licence is a natural person, not a company
A Dubai E-Trader / Trader licence is issued to an individual — a sole establishment owned by a natural person — rather than to a juridical entity like an LLC or FZCO. That distinction is everything for Corporate Tax, because the FTA applies two different registration rules:
| Type | Must register for Corporate Tax? |
|---|---|
| Company (LLC, FZCO, etc.) | Yes — regardless of turnover or profit |
| Natural person (E-Trader / sole establishment / freelancer) | Only if business turnover exceeds AED 1 million in a calendar year |
The AED 1 million rule, explained
Under Cabinet Decision 49 of 2023 (implementing Article 11 of the Corporate Tax Law), a natural person is subject to Corporate Tax — and required to register — only where the total turnover from their business or business activities in the UAE exceeds AED 1 million within a Gregorian calendar year. Two points that catch people out:
- It’s turnover, not profit. The AED 1 million line is your gross revenue for the year — not what’s left after costs. AED 1.2 million of sales on thin margins is over the line; AED 900,000 with fat margins is under it.
- It’s a calendar year. The test runs on the Gregorian calendar year, regardless of your licence dates.
If your E-Trader turnover stays under AED 1 million in the calendar year, you are not required to register for Corporate Tax at all — the FTA confirms this for natural persons carrying on business through a sole establishment.
Income excluded from the AED 1 million
Some income never counts towards the threshold, no matter how much it is. Under Cabinet Decision 49 of 2023, the following are excluded from a natural person’s business turnover:
- Wages / salary — employment income.
- Personal investment income — e.g. dividends, interest, gains on personal assets.
- Real estate investment income — from property held in a personal capacity (no licence required).
So only your E-Trader business turnover is measured against the AED 1 million line — not your salary or personal investments.
Over AED 1 million — what changes
The moment your business turnover exceeds AED 1 million in a calendar year, you become subject to Corporate Tax and registration is mandatory. From there:
- Register on time. The AED 10,000 late-registration penalty applies to individuals exactly as it does to companies — and it applies even if no tax is ultimately due. (If you were late, there may be a penalty waiver.)
- Tax is on profit. The first AED 375,000 of taxable income is at 0%, and 9% applies above that — on net profit after allowable deductions, not on turnover.
- Small Business Relief may apply if your revenue is at or below AED 3 million — you file, but may owe nothing.
If you convert your E-Trader into an LLC or free-zone company, the company rule takes over — that entity must register for Corporate Tax regardless of turnover. See moving from a sole establishment to an LLC.
For most E-Traders: watch the line, don't register early
If you’re running a small E-Trader business under AED 1 million a year, you don’t need to rush into Corporate Tax registration — but you do need to track your annual turnover so you know the moment you approach the line. Keep clean records, monitor the calendar-year total, and register promptly if and when you cross AED 1 million.

Do I need to register for Corporate Tax with a Dubai E-Trader licence?
Only once your business turnover exceeds AED 1 million in a Gregorian calendar year. An E-Trader/Trader licence is issued to a natural person (a sole establishment), so it falls under the FTA’s natural-person Corporate Tax rules under Cabinet Decision 49 of 2023 — not the company rule. Below AED 1 million, registration is not required; above it, registration becomes mandatory.
What is the AED 1 million rule for Corporate Tax?
Under Cabinet Decision 49 of 2023, a natural person carrying on business in the UAE is subject to Corporate Tax, and must register, only where the total turnover from their business activities exceeds AED 1 million within a Gregorian calendar year. It is measured on turnover (gross revenue), not on profit, and applies to sole establishments, freelancers and individual traders.
Is an E-Trader a natural person or a company for Corporate Tax?
A natural person. An E-Trader/Trader licence is a sole establishment owned by an individual, not a juridical entity like an LLC or FZCO. That is why the AED 1 million natural-person threshold applies, rather than the company rule where registration is required regardless of turnover.
What income does not count towards the AED 1 million threshold?
Wages or salary from employment, personal investment income (such as dividends, interest and gains on personal assets), and real estate investment income from property held in a personal capacity are all excluded under Cabinet Decision 49 of 2023, regardless of amount. Only your E-Trader business turnover is measured against the AED 1 million line.
What happens when my E-Trader turnover crosses AED 1 million?
You become subject to Corporate Tax and registration is mandatory. Register on time — the AED 10,000 late-registration penalty applies to individuals too, even if no tax is due. Tax is then charged on net profit: 0% on the first AED 375,000 and 9% above, and Small Business Relief may apply if revenue is at or below AED 3 million.
Do I need to register for Corporate Tax if I convert my E-Trader to an LLC?
Yes. Once you operate through an LLC or free-zone company, the company rule applies and that entity must register for Corporate Tax regardless of turnover — the AED 1 million natural-person threshold no longer helps. The change of legal form also means deregistering the old sole establishment and registering the new company.
