Regulatory Requirement

Is Corporate Tax Registration Mandatory for IFZA Companies?

Yes — unconditionally. Under Federal Decree-Law No. 47 of 2022 (UAE Corporate Tax Law), every company registered in the UAE — including all IFZA (International Free Zone Authority) entities — must register for Corporate Tax with the Federal Tax Authority (FTA).

This obligation applies regardless of:

  • Whether your IFZA company is generating revenue or is dormant
  • Whether your IFZA company qualifies for the 0% tax rate as a Qualifying Free Zone Person (QFZP)
  • Your company's size, turnover, or number of employees
  • Whether you are VAT-registered or not
🚨

AED 10,000 Penalty for Late Registration

The FTA imposes a fixed penalty of AED 10,000 on any UAE entity — including IFZA free zone companies — that fails to register for Corporate Tax within the prescribed deadline. This is a fixed administrative penalty, not a percentage of tax owed — it applies even if your company has zero taxable income. Fastlane submits IFZA CT registration applications in 1 working day for AED 199 — a fraction of the penalty cost.

📋

New IFZA Companies

Register within 3 months of the date your IFZA trade licence is issued. This applies to all IFZA entities incorporated after 1 June 2023.

Existing IFZA Companies

The FTA issued specific deadlines based on trade licence issuance month (Cabinet Decision No. 10 of 2024). If you've missed your deadline, register immediately — the penalty accrues from the deadline date, not the registration date.

💼

Applies to ALL IFZA Licence Types

Trade licence, Service licence, Freelance permit — all IFZA entities are required to register for Corporate Tax. There are no exemptions based on licence type.

🏦

Even at 0% Tax

IFZA QFZP companies paying 0% Corporate Tax must still register, file annual returns, and maintain audited accounts. Registration comes first.

IFZA & Corporate Tax Rate

Can IFZA Companies Pay 0% Corporate Tax?

Yes. IFZA companies can qualify for the 0% Corporate Tax rate on qualifying income as a Qualifying Free Zone Person (QFZP) — but only if all mandatory conditions are met. First, you must be registered for Corporate Tax. Then, you must maintain the conditions that preserve your QFZP status throughout the tax year.

The 0% rate applies to qualifying income only. Income that does not qualify — such as revenue from UAE mainland customers in certain circumstances, or passive income that does not meet the conditions — may be subject to the 9% standard Corporate Tax rate.

QFZP ConditionWhat It Means for Your IFZA CompanyStatus
Registered for CT Must be registered with the FTA for Corporate Tax via EmaraTax Required first step
Maintains adequate substance Company must have core income-generating activity conducted from within the IFZA free zone — not outsourced to mainland UAE Must be maintained
Qualifying income only Income from transactions with other free zone persons or from qualifying activities listed in Ministerial Decision No. 139 of 2023 Must be maintained
De minimis rule Non-qualifying revenue must not exceed 5% of total revenue OR AED 5 million — whichever is lower. Exceeding this threshold disqualifies QFZP status for the entire year Monitor carefully
Audited financial statements Must maintain audited financials every year — prepared by an IFZA-approved auditor. This is a mandatory QFZP condition, not just an IFZA licence requirement Annual requirement
Annual CT return filed Must file an annual Corporate Tax return via EmaraTax within 9 months of the financial year-end — even if the tax payable is AED 0 Annual requirement
No election into standard regime IFZA company must not have elected to be taxed under the standard 9% Corporate Tax regime Default position
💡

QFZP registration is the gateway. Your IFZA company cannot claim the 0% rate without first completing Corporate Tax registration. CT registration is Step 1 — everything else (QFZP assessment, annual CT return, audit) flows from it. Fastlane completes IFZA CT registration in 1 working day from AED 199, and advises on your QFZP eligibility at the same time.

2

3

EmaraTax application submitted — 1 working day

Fastlane's FTA-registered tax agents submit your Corporate Tax registration application via EmaraTax on the same working day documents are received. We complete all form fields accurately and attach the required supporting documents — minimising the risk of FTA queries or rejections.

4

FTA confirmation and Tax Registration Number (TRN)

The FTA reviews the application and issues your Corporate Tax Tax Registration Number (CT TRN) — typically within a few working days of submission. Fastlane notifies you immediately and provides your TRN confirmation document.

What You Need

Documents Required for IFZA Corporate Tax Registration

IFZA Corporate Tax registration via EmaraTax requires a small set of standard documents. Fastlane handles all the form preparation — you simply provide these:

IFZA CT Registration Document Checklist
IFZA trade licence copy (current)
Memorandum of Association (MOA)
Passport copy — authorised signatory
Emirates ID — authorised signatory (if UAE resident)
Company email address and phone number
Financial year start date for the company
EmaraTax login credentials (or we assist setup)
Company's registered address in IFZA

No accounting records needed for registration. Corporate Tax registration does not require financial statements or accounting records — it is purely a legal registration step. What Comes Next

After CT Registration — IFZA Annual Compliance Calendar

Corporate Tax registration is the mandatory first step — but it is not the only CT obligation for IFZA companies. Once registered, the following annual obligations apply:

1. Annual Corporate Tax Return — from AED 249

Every registered IFZA entity must file a Corporate Tax return via EmaraTax within 9 months of the end of its tax period. For a company with a December year-end (31 Dec), this means a filing deadline of 30 September the following year. The return must be filed even if the CT liability is AED 0 — non-filing carries penalties of AED 500/month for the first 12 months and AED 1,000/month thereafter.

Fastlane handles IFZA CT returns from AED 249 — including Small Business Relief assessment for companies with revenue under AED 3 million.

2. Audited Financial Statements — from AED 1,499

To maintain QFZP status and the 0% Corporate Tax rate, your IFZA company must maintain audited financial statements every year, prepared by an IFZA-approved auditor. This is a mandatory condition of QFZP status (Ministerial Decision No. 139 of 2023) — not just an IFZA licence renewal requirement. Fastlane is an IFZA-approved auditor. View IFZA Audit from AED 1,499 →

3. Small Business Relief — Revenue under AED 3 Million

IFZA companies with revenue under AED 3 million per tax period may elect for Small Business Relief (SBR) — treating their taxable income as AED 0 for that period. This relief is available for tax periods ending on or before 31 December 2026. However, SBR does not remove the obligation to register or file — it only removes the tax liability calculation. Fastlane assesses SBR eligibility as part of every IFZA CT filing.

4. VAT Obligations (if applicable)

If your IFZA company's annual taxable supplies exceed AED 375,000, VAT registration with the FTA is mandatory. Many IFZA companies also have international revenue that may be zero-rated for VAT. Fastlane handles IFZA VAT registration and quarterly filing — view our VAT services.

⚠️

QFZP status can be lost retroactively. If your IFZA company fails to maintain audited financial statements, violates the de minimis rule, or fails to have adequate substance in the free zone, the FTA can disqualify your QFZP status for the entire tax year — meaning all income for that year becomes subject to 9% CT. Maintaining ongoing compliance is essential, not optional. Fastlane monitors your IFZA compliance year-round.

FAQ

Corporate Tax Registration IFZA — Frequently Asked Questions

Do IFZA companies need to register for Corporate Tax?
Yes — all IFZA companies are legally required to register for UAE Corporate Tax with the FTA, regardless of size, revenue, or whether they qualify for the 0% QFZP rate. The penalty for failing to register within the prescribed deadline is AED 10,000. Fastlane completes IFZA CT registration in 1 working day for AED 199.
What is the penalty for late Corporate Tax registration for an IFZA company?
The FTA imposes a fixed penalty of AED 10,000 for failing to register for Corporate Tax within the prescribed deadline. This applies to all IFZA entities regardless of whether they owe any tax. Register immediately if your deadline has passed — the penalty is fixed but further delays do not reduce it.
Can IFZA companies pay 0% Corporate Tax?
Yes. IFZA companies can qualify for the 0% rate on qualifying income as a Qualifying Free Zone Person (QFZP), provided they meet all conditions: adequate UAE substance, qualifying income (or meeting the de minimis rule), audited financial statements, and filing annual CT returns. CT registration is the mandatory first step to QFZP status.
What is the deadline for Corporate Tax registration for IFZA companies?
For new IFZA companies incorporated after 1 June 2023, registration must be completed within 3 months of the date the trade licence is issued. For existing companies, the FTA issued specific deadlines by licence month (Cabinet Decision No. 10 of 2024). If your deadline has passed, register immediately — Fastlane submits on the same working day.
What documents are needed for IFZA Corporate Tax registration?
You need: IFZA trade licence copy, Memorandum of Association, passport or Emirates ID of the authorised signatory, company email and phone, financial year start date, and company address. Fastlane handles all form preparation and EmaraTax submission. No financial statements or accounting records are needed for registration.
Does an IFZA QFZP company still need to file a CT return at 0%?
Yes. Even at 0% tax, IFZA QFZP companies must file an annual Corporate Tax return via EmaraTax within 9 months of the financial year-end. Failure to file carries penalties of AED 500/month (first 12 months) then AED 1,000/month. Fastlane handles IFZA CT returns from AED 249.
What is the de minimis rule for IFZA QFZP companies?
The de minimis rule allows IFZA QFZP companies to have a limited amount of non-qualifying income without losing their 0% status. Non-qualifying revenue must not exceed 5% of total revenue OR AED 5 million — whichever is lower. If your IFZA company's non-qualifying income exceeds this threshold in any tax year, QFZP status is lost for that entire year and all income is subject to 9% CT.
Is the IFZA audit mandatory for Corporate Tax purposes?
Yes. Maintaining audited financial statements every year is a mandatory condition of QFZP status under Ministerial Decision No. 139 of 2023. IFZA companies claiming the 0% CT rate must have audited accounts — failure to maintain them risks disqualification of QFZP status and 9% CT on all income. Fastlane is an IFZA-approved auditor — audit reports from AED 1,499. See our IFZA Audit Report service.
