Is Corporate Tax Registration Mandatory for IFZA Companies?
Yes — unconditionally. Under Federal Decree-Law No. 47 of 2022 (UAE Corporate Tax Law), every company registered in the UAE — including all IFZA (International Free Zone Authority) entities — must register for Corporate Tax with the Federal Tax Authority (FTA).
This obligation applies regardless of:
- Whether your IFZA company is generating revenue or is dormant
- Whether your IFZA company qualifies for the 0% tax rate as a Qualifying Free Zone Person (QFZP)
- Your company's size, turnover, or number of employees
- Whether you are VAT-registered or not

The FTA imposes a fixed penalty of AED 10,000 on any UAE entity — including IFZA free zone companies — that fails to register for Corporate Tax within the prescribed deadline. New IFZA Companies

Can IFZA Companies Pay 0% Corporate Tax?
Yes. IFZA companies can qualify for the 0% Corporate Tax rate on qualifying income as a Qualifying Free Zone Person (QFZP) — but only if all mandatory conditions are met. First, you must be registered for Corporate Tax. Then, you must maintain the conditions that preserve your QFZP status throughout the tax year.
The 0% rate applies to qualifying income only. Income that does not qualify — such as revenue from UAE mainland customers in certain circumstances, or passive income that does not meet the conditions — may be subject to the 9% standard Corporate Tax rate.

Corporate Tax registration is the mandatory first step — but it is not the only CT obligation for IFZA companies. Once registered, the following annual obligations apply:
1. Annual Corporate Tax Return — from AED 249
Every registered IFZA entity must file a Corporate Tax return via EmaraTax within 9 months of the end of its tax period. For a company with a December year-end (31 Dec), this means a filing deadline of 30 September the following year. The return must be filed even if the CT liability is AED 0 — non-filing carries penalties of AED 500/month for the first 12 months and AED 1,000/month thereafter.

2. Audited Financial Statements — from AED 1,499
To maintain QFZP status and the 0% Corporate Tax rate, your IFZA company must maintain audited financial statements every year, prepared by an IFZA-approved auditor. 3. Small Business Relief — Revenue under AED 3 Million
IFZA companies with revenue under AED 3 million per tax period may elect for Small Business Relief (SBR) — treating their taxable income as AED 0 for that period. This relief is available for tax periods ending on or before 31 December 2026. However, SBR does not remove the obligation to register or file — it only removes the tax liability calculation. 4. VAT Obligations (if applicable)

QFZP status can be lost retroactively.
