How Long Is a Liquidation Audit Report Valid? (And Do You Still Need an Annual Audit?)

Two questions owners ask once the report is in hand: does it expire before I can file it, and do I still owe a separate annual audit? Short answers — no, and no. Here's why.

Quick answer

A liquidation audit report has no expiry date. Once your approved auditor and liquidator has prepared it, you can submit it to the free-zone authority — IFZA, DSO, Meydan or another — whenever you're ready; it doesn't lapse. And you don't need a separate annual audit for the closure: the liquidation report is itself an audit report, prepared and signed by an approved auditor, so it covers the requirement.

When a liquidation audit report is finally ready, two worries tend to surface: "Will it go out of date before I get it submitted?" and "I never filed this year's annual audit — do I still need to?" Both have reassuring answers, and getting them clear can save you unnecessary cost and delay.

Question 1

Does a liquidation audit report expire?

No. A liquidation audit report does not have an expiry or validity period. Once it has been prepared by your approved auditor and liquidator, there is no window after which it becomes invalid — you can submit it to the relevant authority whenever you're ready to complete the closure.

The one sensible caveat: the report reflects your company's financial position as at the date it's prepared (your cessation date). So the clean approach is to keep the company inactive and submit the report without resuming any trading in the meantime. There's no deadline that expires it — but it should still describe the company as it actually stands when you file.

What this means in practice

You can have the report prepared now and file it when the rest of your paperwork — bank closure, visa cancellations, clearances — is ready, without worrying that the report itself will time out.

Question 2

Do you still need a separate annual audit?

No — not for the closure. This is a common point of confusion for companies that reach wind-up without having filed the current year's audit. The key fact is that the liquidation report is an audit report in its own right: it's prepared and signed by an approved, MoE-registered auditor and covers the company's financial position through to cessation.

Because of that, you don't need to commission a separate annual or year-end audit on top of the liquidation report for the purpose of closing the company — the liquidation audit report does that job. It's one audit, produced by the liquidator, that both winds the company down and satisfies the audit requirement for deregistration.

One sensible check

If the authority specifically asks for audited financials covering a particular prior period, provide them — but for the wind-up itself, a separate annual audit is not required in addition to the liquidation report. For more on the auditor's role, see the liquidator's two roles.

Applies across the board

The same holds for every free zone — and the mainland

Neither point is unique to one authority. Whether you're closing an IFZA, DSO (Dubai Silicon Oasis), Meydan or another free-zone company — or a mainland entity — the liquidation audit report is what the authority needs to deregister the company, it doesn't expire, and it stands as the audit report for the wind-up. See our UAE liquidation audit report service for how it works across jurisdictions.

The takeaway

Get the report done — file when you're ready

You don't need to race a clock, and you don't need to chase a separate annual audit first. Have the liquidation audit report prepared by an approved auditor, gather your closure documents, and submit when everything lines up. One report, no expiry, no duplicate audit.

FAQ
Does a liquidation audit report expire?

No. A liquidation audit report has no expiry or validity period. Once your approved auditor and liquidator has prepared it, you can submit it to the relevant authority whenever you're ready. The only sensible caveat is that it reflects your company's position as at the date it's prepared, so keep the company inactive and don't resume trading before you file.

Can I submit the liquidation report to IFZA, DSO or Meydan any time?

Yes. Because the report doesn't expire, you can file it with the free-zone authority — IFZA, DSO, Meydan or another — whenever the rest of your closure paperwork (bank closure, visa cancellations, clearances) is ready. There's no window after which the report becomes invalid.

Do I still need a separate annual audit if I'm liquidating?

No — not for the closure. The liquidation report is itself an audit report, prepared and signed by an approved MoE-registered auditor, covering the company's financial position through to cessation. So you don't need to commission a separate annual or year-end audit on top of it to close the company.

Who prepares the liquidation audit report?

An approved, MoE-registered auditor, who is also appointed as the liquidator. They accept the appointment at the start of the process and issue the liquidation audit report and declaration at the end — the document the authority relies on to deregister the company.

Does this apply to all UAE free zones and the mainland?

Yes. The liquidation audit report is the document authorities rely on to deregister a company, it doesn't expire, and it serves as the audit for the wind-up — across free zones such as IFZA, DSO and Meydan, and for mainland companies. The document names and portal steps vary slightly by authority, but these two points hold throughout.
