What it is

RAK ICC is an offshore registry — not a free zone

RAK ICC (RAK International Corporate Centre) runs an International Business Company (IBC) registry. Its companies are non-resident vehicles: they hold assets and do international business, but they don’t operate in the UAE local market, don’t rent an office, don’t employ UAE staff and don’t grant residence visas. Importantly, RAK ICC does not issue a trade licence — on incorporation it issues a Certificate of Incorporation together with the Memorandum & Articles. If someone quotes you a “RAK ICC trade licence,” that’s a red flag they’ve mixed it up with a free zone.

Use a Company Limited by Shares

For holding shares in overseas companies and international investments, the right structure is a RAK ICC Company Limited by Shares, with a single shareholder where you want it. Its name ends in Limited / Ltd (or Incorporated / Inc.), and on registration it acquires legal personality and can hold assets and contract in its own name. It’s the standard, well-understood holding vehicle — clean for owning shares, IP, or investment portfolios.

Their professional fee is separate from the Registry fee above — it is not part of the AED 3,250 / AED 3,950.

Tax & compliance — structure with your eyes open

RAK ICC keeps UBO and shareholder records (not on a public register), so you get privacy and compliance. But an offshore vehicle isn’t a tax shortcut: the company may still be taxable or reportable in your country of residence, and its UAE Corporate Tax position depends on what it actually does — so the vehicle’s purpose and tax analysis should be settled before you incorporate, not after.
