AED 2,625 at cost
Liquidation application, liquidator appointment and Certificate of Dissolution — passed through, no markup.
One firm for the whole closure — agent and auditor
Most RAK ICC owners have to line up two providers: a registered agent to file, and an approved auditor to issue the liquidator's report. We are both. That is the difference this page is really about.
With Fastlane
RAK ICC Registered Agent and MoE-Approved Auditor. One team transfers the agency, acts as liquidator, issues the report, files the liquidation and delivers the Certificate of Dissolution. One quote, one point of contact, fees quoted upfront.
The usual route
A registered agent who cannot sign the report, plus a separate auditor — two engagements to coordinate, two invoices, and, as many owners find, opaque pricing and slow handovers between them.
What the RAK ICC liquidation service covers
- Registered agent transfer — we take over as your RAK ICC Registered Agent, the required first step if you are switching to us.
- Acting as voluntary liquidator — permitted because we are an approved audit firm.
- Document preparation — the Declaration of Solvency and the shareholder resolution appointing the liquidator.
- Liquidator's report — issued by an MoE-Approved Auditor, confirming the company's final position.
- Liquidation filing — the four-step submission through the RAK ICC agent portal.
- Certificate of Dissolution — obtained as the final step, your proof the company is formally closed.
- Corporate tax deregistration — optional, run in parallel where the company is FTA-registered.

The process, in brief
A RAK ICC voluntary liquidation runs through a set sequence. Here it is in short — the full step-by-step, with every fee and the governing regulations, is in our RAK ICC liquidation process guide.
- Agent transfer (if switching) — we become your RAK ICC Registered Agent.
- Declaration of Solvency — signed by the directors.
- Shareholder resolution — winding up and appointing us as liquidator.
- Liquidator's report — prepared by our approved auditor.
- Liquidation filing — the four-step RAK ICC portal submission.
- Certificate of Dissolution — obtained once the company is liquidated.
Why the auditor credential matters here
A RAK ICC liquidator must be an entity authorised to provide audit services in the UAE. The liquidator's report only carries weight because an approved firm signs it — on letterhead, with stamp, authorised signature and registration number. As an MoE-Approved Auditor, Fastlane meets that bar directly, which is what lets us act as your liquidator rather than outsourcing the report. The principle is explained in our guide to who can sign a liquidation report.

Yes. We are a RAK ICC Registered Agent and an MoE-Approved Auditor, so one firm handles the entire closure — the agent transfer, acting as voluntary liquidator, preparing the report, filing the liquidation and obtaining the Certificate of Dissolution. You deal with one team and one quote instead of coordinating an agent and a separate auditor.
No. A RAK ICC company is an offshore entity and the liquidation is handled through the agent portal, so the process does not require you to be in the UAE. Documents that need signing are managed remotely. We work with owners based overseas routinely.
It is the simplest and quickest case, but it still goes through the full voluntary liquidation — RAK ICC requires a liquidator's report even where the company never traded or opened a bank account. The documents are shorter because they confirm a nil position, but the same government fees apply. We handle never-traded and dormant companies efficiently.
For a straightforward, solvent company it is typically a few weeks from receiving the documents, allowing for preparation of the report, filing, the Registrar's processing and the required publication period. A company with trading history takes longer because there are balances for the liquidator to work through. We give you a realistic timeline with your quote.
A Certificate of Dissolution — the official RAK ICC document confirming your company has been formally wound up and dissolved. It is the proof, which you should keep permanently, that the company was properly closed rather than left to lapse. We obtain it as the final step of the engagement.
It is a separate but related step we can handle alongside the liquidation. Closing the company at RAK ICC does not close any Federal Tax Authority registration; if the company is registered for corporate tax, deregistration is filed with the FTA. We can run it in parallel so both the offshore register and the tax file are dealt with together.
It can still be liquidated without renewing first, but RAK ICC applies a late notification penalty of AED 600 per annum under the current schedule. We calculate any penalty into your upfront quote so there are no surprises, and the sooner an overdue company is closed the less it accrues.
