Key Takeaways
4 insights · 11 min readPersonal-detail updates for shareholders and officers are filed by your Certified Registered Agent through the RAK ICC portal — never directly by the company.
This request only changes personal information (name, passport, nationality, address, occupation) — it does not add or remove people or change their roles.
Any change must be recorded within 15 days of the agent being notified; late or missed filings expose the agent to a fine.
Each update needs a resolution and a proof-of-change document per person — a new passport copy or current address proof, certified by the agent.
To change a RAK ICC shareholder or officer’s personal details, your Certified Registered Agent raises a “Changes to Shareholder/Officer Personal Details” service request on the RAK ICC portal, edits the existing person’s record (name, passport, nationality, address and similar fields), uploads a resolution and proof of change, and submits. The change must be filed within 15 days, and roles cannot be altered through this request.

Only a Certified Registered Agent can update the details of a shareholder or officer of a RAK ICC company. RAK ICC — the Ras Al Khaimah International Corporate Centre, the registry for international (offshore) companies in Ras Al Khaimah — does not deal with companies directly. Every amendment, including a simple correction to someone’s passport number or home address, is submitted by the licensed agent through the RAK ICC agent portal as a “Changes to Shareholder/Officer Personal Details” service request.
In practice, you notify your agent of the change — ideally in writing, supported by the underlying evidence such as a new passport — and the agent opens the company record, edits the relevant person, uploads the documents, ticks the declaration and pays the registry fee on your behalf. A single request can refresh several people’s details at once, so a passport renewal for one shareholder and an address change for another can be filed together. If you want a single point of contact to keep these records accurate, our team can help you set up and maintain a RAK ICC company and act as the interface with your registered agent.
Expert Tip
Send your agent the instruction in writing with the supporting document attached. Because the agent — not the company — carries the filing liability and the 15-day clock, a clear paper trail protects both sides if the registry queries the update.
What is the difference between changing details and changing officers?
This is the point that catches people out. The “Changes to Shareholder/Officer Personal Details” request only updates the personal information of people already on the register. As the portal itself states, apart from personal details you cannot change any other information, such as choosing roles for that person. If you need to change who is involved or what role they hold, that is a different service request.
| What you want to do | Correct RAK ICC service request |
|---|---|
| Correct a name, passport, nationality, address or occupation of an existing person | Changes to Shareholder/Officer Personal Details (this guide) |
| Appoint or remove a director or secretary, or change a role | Changes to Director/Secretary |
| Add or remove a shareholder / transfer ownership | Transfer of Shares (or Transfer of Shares with changes to Director/Secretary) |
| Change the amount or structure of share capital | Changes to Share Capital |
| Change the company name | Change of Name |
| Change the business activity | Change of Activity |
So use this request for maintenance of existing records: a passport renewal, a legal change of name, a change of residential or home-country address, an update to nationality or dual nationality, a change of occupation, or updating whether the person is resident in the UAE. For appointments, resignations, share transfers or role changes, your agent raises the matching request instead — and our company amendment team can identify the right one and prepare it for you.
Which personal details can you change on the RAK ICC portal?
When your agent clicks Edit on a shareholder or officer, the portal opens that person’s details for editing. The fields available are the individual’s identity, residence and travel-document information — not their roles or shareholding. The table below lists the editable fields exactly as they appear on the portal.
| Field group | Editable fields |
|---|---|
| Identity | Name; Date of Birth; Occupation. |
| Nationality | Nationality; Has dual Nationality? (Yes/No); Dual Nationality (country). |
| Passport | Passport No.; Passport Expiry Date. |
| Residence | Resident in UAE (Yes/No); House Name/No. & Street; Residential City; Residential Country. |
| Home country address | Has additional Home Country Address? (Yes/No); House Name/No. & Street; Home Country City; Home Country. |
| Roles (read-only here) | Secretary, Board of Director, UBO, POA/Authorized Signatory and their start/expiry dates are shown but cannot be changed in this request. |
The same edit form is used whether the person appears under Individual Shareholders or under Individual Director/Secretary/UBO/POA. If one person is both a shareholder and a director, remember to update both records so the register is internally consistent.

How do you update shareholder or officer details step by step?
The update is filed as a single service request. Your agent selects the “Changes to Shareholder/Officer Personal Details” service, completes the company details, edits each person’s record, uploads the documents, and submits after a declaration. The nine steps below mirror the RAK ICC agent-portal flow exactly.
- Log in to the agent portal — your Certified Registered Agent opens the RAK ICC Agent Portal home page.
- Raise the request — select Company Services, then under Amendment, Liquidation & Charge choose Company Amendment and Changes to Shareholder/Officer Personal Details.
- Complete the Company Details page — fill in all required information before proceeding to the Shareholder/Officer page.
- Open the Shareholder/Officer page — the company’s existing shareholders and officers are displayed with their current details.
- Edit an individual shareholder — click Edit next to an Individual Shareholder, modify the personal details (name, passport, nationality, address and so on), then Save.
- Edit an individual officer — click Edit next to an Individual Director/Secretary/UBO/POA, update the personal details, then Save. Roles cannot be changed here.
- Upload the required documents — on the Upload Documents page, attach the shareholder or director resolution and a proof-of-change document for each person updated.
- Tick the declaration — on the Declaration page, confirm that all reasonable steps have been taken to verify the information and that it is true; the portal warns of fines for false or misleading information.
- Review and submit — check the confirmation page and the price item, then Submit (or use Back to edit, or Cancel Request).
Worth knowing
The declaration also confirms that any change in information will be notified to the Registrar within the prescribed time frame and in the approved form. That is the 15-day obligation in practice — so the moment a passport or address changes, the countdown has effectively begun.
When do you need to update a UBO’s details too?
A UBO (Ultimate Beneficial Owner) of a RAK ICC company is always a natural person — never a company — who meets at least one control test. If someone recorded as a UBO changes their name, nationality, passport or address, that record must be refreshed using the same Edit action, because the Beneficial Ownership Regulations 2019 require the register to be kept current.
| UBO test | Trigger | Notes |
|---|---|---|
| Ownership / control of shares or votes | 25% or more | Owns or ultimately owns or controls 25%+ of the shares or voting rights, directly or indirectly. |
| Control of the board | Appoint / remove majority | Holds the right, directly or indirectly, to appoint or remove the majority of the board of directors. |
| Significant influence or control | Exercised in fact | Has the right to exercise, or actually exercises, significant influence or control over the company or management. |
| Fallback | No one qualifies | If no individual meets any test above, the non-corporate director(s) are treated as the UBO(s). |
Keeping this register accurate sits within the same beneficial-ownership and anti-money-laundering framework that applies across the UAE. If your business is a designated non-financial business or profession, our UBO and AML compliance support can help you keep your RAK ICC records aligned with your wider obligations.
15-Day Filing Deadline
A change to a shareholder’s or officer’s details must be recorded within 15 days of your Certified Registered Agent being notified. Late or missing filings expose the agent to a fine, so pass on the new passport or address as soon as you have it. Ask Fastlane to manage the filing →
What documents do you need to change personal details?
The portal asks for a resolution and a proof-of-change document for each person updated. The proof depends on what changed — a copy of the new passport for a passport, name or expiry change, or current address proof for a change of address. The documents are certified by the agent before filing.
| Document | Applies to | What is accepted |
|---|---|---|
| Shareholder or director resolution | The company | A resolution approving the change to the shareholder or officer records. |
| Proof of change — identity | Name / passport / DOB / nationality change | Copy of the new or corrected passport (and any supporting evidence of a legal name change). |
| Proof of change — address | Change of residential or home-country address | Current utility bill, tenancy agreement, residency certificate or bank statement showing the new address. |
On the portal each person’s upload is labelled with their name and marked as required — for example, “[Name] – Proof of change” — and starts as Pending Upload until the file is attached. Getting clean, current copies to your agent early keeps the filing inside the 15-day window. If you are handling this alongside a broader restructuring, our UAE company formation and amendment team can prepare the resolution and marshal the certified copies for you.
What is the deadline and penalty for not updating RAK ICC records?
A Certified Registered Agent that fails to make a required filing, or fails to amend the records within 15 days of being notified of a change, is liable to a fine. The portal’s declaration also warns that providing false, misleading or deceptive information is an offence carrying a fine.
| Trigger | Timeframe | Consequence |
|---|---|---|
| Change to a shareholder’s or officer’s details | Within 15 days | Must be recorded on the portal after the agent is notified. |
| Failure to file or amend in time | After 15 days | The Certified Registered Agent is liable to a fine. |
| False or misleading declaration | On submission | An offence; the declaration references a fine for providing false or misleading information. |
These obligations sit within RAK ICC’s own Beneficial Ownership Regulations 2019, which is why the register must be kept current between renewals. [VERIFY — confirm the current fine amount / penalty “level” and the latest RAK ICC guidance at rakicc.com before publishing.]
How much does it cost to change shareholder or officer details?
Expect three cost components: an official RAK ICC change-of-information fee charged by the registry, your agent’s professional fee for preparing and filing, and any document attestation costs. In the current portal example, the registry line item — “Change of info – Shareholders” — shows AED 1,000 with VAT displayed as AED 0.00, but registry fees are set by RAK ICC and change from time to time.
Worked example — a shareholder who renewed a passport and moved home
• Official RAK ICC change-of-information fee — AED 1,000 for the shareholders change-of-information service, VAT AED 0.00 (portal example figure — confirm current fee).
• Agent / advisory fee — charged by your registered agent for the resolution, portal filing and document certification.
• Attestation of documents — where the new passport or address proof needs certifying.
• Illustrative total — because a single request can bundle several people’s updates, refreshing multiple records together avoids paying the registry fee more than once.
[VERIFY — the AED 1,000 above is the RAK ICC portal example, not a confirmed current tariff. Check the live RAK ICC schedule of fees before quoting a client.]
Handled by a Certified Registered Agent
- Filed correctly the first time, inside the 15-day window.
- Both the shareholder and officer records for the same person kept consistent.
- Resolution prepared and proof-of-change documents certified.
- Several people’s updates bundled into one submission.
Trying to shortcut the process
- RAK ICC companies cannot file amendments without the agent.
- Missed 15-day window means a fine exposure for the agent.
- Using this request to try to change roles — which it cannot do.
- Uncertified or expired proof leads to document rejections.
Do these changes affect your UAE tax or compliance obligations?
Keeping shareholder, officer and UBO details current is itself a standing compliance obligation. Separately, a RAK ICC company may fall within UAE Corporate Tax and anti-money-laundering rules depending on what it actually does — so any material change is a sensible moment to review both.
A RAK ICC company is a UAE-incorporated entity, and its beneficial-ownership and record-keeping duties apply regardless of where it trades. Whether it also has a UAE Corporate Tax filing position depends on its residence and activities rather than on its offshore label, so it is worth confirming the company’s status with an advisor when key details change — our UAE corporate tax team can assess this. If the entity is within scope of AML supervision, refresh the UBO register and controls at the same time, and keep the bookkeeping current with accounting and compliance support. [VERIFY — the corporate-tax treatment of RAK ICC (offshore) companies is fact-specific; do not state a blanket exemption or liability. Confirm against current FTA guidance.]
Common mistakes when updating RAK ICC personal details
Most rejected or late RAK ICC updates come down to a short list of avoidable errors. Check each of these before your agent submits.
Avoid these six pitfalls
• Missing the 15-day window — the clock starts when the agent is notified, not when you get around to sending the new document.
• Updating the shareholder record but not the same person’s officer record — if someone is both, edit both so the register is consistent.
• Trying to change a role through this request — roles are read-only here; use the Changes to Director/Secretary request instead.
• Forgetting to update a UBO’s details — a beneficial owner’s new passport, name or address must be reflected too.
• Uncertified new passport or stale address proof — the proof-of-change copy must be certified and current.
• Leaving out the home-country address — where a person has an additional home-country address, keep those fields current as well.
