Key Takeaways
4 insights · 11 min readSince April 2022, RAK ICC certificates are issued electronically with the Registrar’s signature and a document number — and RAK ICC document verification lets anyone confirm a document is genuine against the registry.
Common certificates include Incumbency, Good Standing, Tax Exemption, No Objection, Registers and Renewal Confirmation — each proving something specific a bank or counterparty needs.
To verify a document you enter the company registration number, the case-sensitive document number and an emailed OTP on the RAK ICC verification page, then compare the result to your copy.
A RAK ICC Certificate of Tax Exemption reflects the RAK ICC regime — it does not by itself determine your UAE corporate tax position under Federal Decree-Law No. 47 of 2022.
RAK ICC document verification is the online process for confirming a RAK ICC certificate or letter is genuine. Since April 2022, RAK ICC documents are generated electronically with the Registrar’s signature and a unique document number, and anyone can verify one on the RAK ICC document verification page using the company registration number, the document number, and an emailed one-time password.

RAK ICC document verification is the online process that lets anyone confirm a RAK ICC certificate or letter is authentic and unaltered. It exists because RAK ICC moved its documents to secure electronic issuance: with effect from 16 April 2022, and extended on 26 April 2022, RAK ICC certificates and letters are generated electronically with the Registrar’s signature and carry document-verification details printed on the document itself.
That shift matters because a modern RAK ICC document is no longer just a PDF you take on trust. Each carries a unique document number and a line stating that it is electronically issued by RAK ICC, with a link to verify it. A bank, regulator or counterparty can check the document against the registry directly, rather than relying on the copy in front of them — which is exactly the assurance offshore documents historically lacked.
For a company owner, there are two practical sides to this. One is obtaining the certificates you need — requested through your registered agent, since RAK ICC companies act through an agent, as part of how we handle RAK ICC and company services. The other is verifying a document, whether your own or one you have received from someone else. This guide covers both, starting with which certificates exist and what each is for.
Which RAK ICC certificates and letters can you obtain?
RAK ICC issues a broad set of digital documents covering a company’s whole life — from incorporation through to dissolution. Knowing which one proves what saves time, because banks and counterparties usually ask for a specific certificate, not “company documents” in general.
| Document | What it confirms / when it is used |
|---|---|
| Certificate of Incorporation | The company exists and when it was incorporated |
| Certificate of Continuation | The company has re-domiciled into RAK ICC from another jurisdiction |
| Certificate of Incumbency | Current shareholders, directors and secretary — common for bank onboarding |
| Certificate of Good Standing | The company validly exists, fees are paid, and it is not being struck off |
| Certificate of Tax Exemption | The company’s status under the RAK ICC regime |
| No Objection Certificate (NOC) | No objection from the registry for a stated purpose |
| Certificate of Agent Registration | The registered agent’s appointment |
| Renewal Confirmation Letter | The company’s renewal has been completed |
| Registers & Register Extract | Official record of shareholders, directors, officers or UBOs |
| Certificate of Name Change | A change of company name |
| Certificate of Dissolution / Strike-Off Confirmation | The company has been dissolved or struck off |
Alongside these sit various confirmation letters — the Director Letter, Letter of Incumbency and Activity Confirmation Letter — used where a specific point needs to be evidenced. The register extracts (shareholders’, officers’ and UBO registers) overlap with AML and UBO compliance, since they are the official record of who owns and controls the company. If a company is closing, the Strike-Off Confirmation Letter or Certificate of Dissolution is the proof of that, which pairs with our guide to the RAK ICC strike-off process.
What is a RAK ICC Certificate of Incumbency, and what is on it?
A Certificate of Incumbency confirms who currently holds office in a RAK ICC company — its shareholders, directors and secretary — together with the core company particulars. It is one of the most frequently requested RAK ICC documents because it answers the question a bank or counterparty most often asks: who is actually authorised to act for this company?
A typical Certificate of Incumbency sets out a defined set of details, all as recorded on the register at the date of issue.
| Field on the certificate | What it shows |
|---|---|
| Date of issue | When the certificate was generated |
| Name & address of company | The company’s registered name and address |
| Date of incorporation | When the company was formed |
| Place of registration | Ras Al Khaimah, UAE |
| Authorised & paid-up share capital | The company’s share capital |
| Status of company | Active, or another current status |
| Shareholders, directors, secretary | The current officers and their shareholdings |
| Registrar signature & seal | “Given under my hand and seal” with the document number for verification |
Because it lists the current officers, a Certificate of Incumbency is typically requested when opening or updating a bank account, confirming signing authority, or completing counterparty due diligence. It is a snapshot as at the issue date, so where directorships or shareholdings have recently changed, obtain a fresh certificate rather than relying on an older one.
What is a RAK ICC Certificate of Good Standing used for?
A Certificate of Good Standing confirms that a RAK ICC company validly exists, is up to date on its fees and filings, and is not in the process of being struck off or dissolved. Where a Certificate of Incumbency answers “who runs the company”, a Certificate of Good Standing answers “is the company alive and compliant” — and the two are often requested together.
It is the document counterparties ask for when they need reassurance about the company’s standing before committing to something.
📋 Certificate of Good Standing proves
- The company validly exists
- Fees and filings are up to date
- It is not being struck off or dissolved
- Often needed for banks, tenders, financing
👤 Certificate of Incumbency proves
- Current shareholders and their shares
- Current directors and secretary
- Core company particulars and status
- Often needed for account opening and signing authority
A Certificate of Good Standing is commonly required for opening bank accounts, participating in tenders, arranging financing, and cross-border transactions where a counterparty needs proof the company is active and in order. Keeping the company compliant — renewed on time and, where relevant, audited — is what allows a Certificate of Good Standing to be issued in the first place; our guide to the RAK ICC renewal process covers keeping that standing current.
Does a RAK ICC Certificate of Tax Exemption exempt you from UAE corporate tax?
No — and this is the single most important point to get right. A RAK ICC Certificate of Tax Exemption reflects the company’s position under the RAK ICC regime; it is not a determination of your UAE federal corporate tax position. Reading it as a blanket exemption from UAE corporate tax is a serious and common misunderstanding.
Since the introduction of UAE Corporate Tax under Federal Decree-Law No. 47 of 2022, whether a company is within corporate tax scope turns on its own facts — whether it is a taxable person, where it is managed and controlled, and whether it earns income within scope. A RAK ICC company is not automatically outside that framework simply because it holds a Certificate of Tax Exemption from the registry. The certificate and your federal corporate tax obligations are two separate things.
⚠️ Don’t treat the certificate as a corporate tax ruling
A Certificate of Tax Exemption evidences RAK ICC-regime status — it does not decide whether you must register for, or pay, UAE corporate tax. Get your actual corporate tax position assessed on the facts. Check your UAE corporate tax position →
The practical takeaway is to keep the two questions apart. Use the RAK ICC certificate for what it is — evidence of the company’s registry status, useful to banks and counterparties — and separately assess your UAE corporate tax obligations, and whether the entity needs a tax residency certificate for treaty purposes. They are different documents answering different questions, and conflating them is where owners get into trouble.
How do you apply for RAK ICC miscellaneous documents?
RAK ICC certificates and letters are requested through your registered agent in the RAK ICC portal — not by the owner directly — under Company Services and the relevant miscellaneous service request. The process is short: the agent selects the document, enters the company details, confirms the correspondence details, reviews the fees, and submits.
In practice the flow runs as follows. The agent chooses the certificate, letter or resolution from the miscellaneous services menu, completes the company details page, and provides correspondence details such as an email and mobile number for notifications. A confirmation page then shows the request with its price items and total cost, which the agent verifies before submitting. Most of these requests are auto-approved, so the document is generated and made available to view and download shortly after submission.
Because the request is agent-driven and the document is issued against the registry record, the details you provide need to be current — the certificate reflects what the register holds. This is the same reason keeping your renewal and company record up to date matters: an out-of-date register produces an out-of-date certificate. Fees for each document are set by RAK ICC and shown as price items on the confirmation page.

How are RAK ICC documents issued and delivered?
Once a request is approved, RAK ICC generates the document electronically with the Registrar’s signature and makes it available to download from the service request. There is no wet-ink certificate to collect — the document is a signed digital file, and its authenticity is established by the verification details it carries rather than by a physical seal alone.
Every generated document includes a line stating that it is electronically issued by RAK ICC, a unique document number, and the address of the verification page. That block is what makes the document independently checkable: the document number is the key a recipient uses to confirm the document against the registry. The Registrar’s signature and the RAK ICC seal appear on the document, but it is the verifiable document number that gives a modern RAK ICC certificate its weight.
If a generated document contains an error, it does not have to be lived with. The request can be returned to the RAK ICC registry for a data correction before the document is relied upon — covered in a later section — so that the corrected version can be re-generated and downloaded. Keeping the downloaded PDF safe matters, because the same file is what you or a counterparty will later verify.
How does RAK ICC document verification work, step by step?
You verify a RAK ICC document on the RAK ICC document verification page, using details from the document itself plus an emailed one-time password. The process is designed so that anyone — a bank, a counterparty, or you — can confirm a document independently against the registry, and it takes only a few minutes.
The official verification page is https://www.rakicc.com/document-verification, reached from the RAK ICC website’s Document Verification menu. The steps are straightforward.
- Find the document number — printed on the document, beside the note that it is electronically issued by RAK ICC.
- Open the verification page — go to the RAK ICC document verification page and select the Document Verification option.
- Enter your details — your full name, an email for the one-time password, the company registration number, and the document number exactly as shown.
- Confirm the reCAPTCHA — the Verify button enables only once every field is completed.
- Enter the emailed OTP — retrieve the one-time password sent to your email, enter it, and click Verify.
- Compare the result — preview or download the document the registry returns and compare it to the copy you hold.
If the verified document matches your copy exactly, you can rely on it. If anything differs — a name, a figure, a date — or if the details do not match the registry at all, that is a red flag to raise with the RAK ICC registry rather than to ignore.
What details do you need to verify a document, and why does case-sensitivity matter?
Verification depends on entering a specific set of details exactly — and the document number in particular is case sensitive, so it must be typed precisely as it appears. Getting one character wrong is the most common reason a genuine document appears to fail verification.
| Detail required | Where it comes from / note |
|---|---|
| User full name | The name of the person verifying |
| Email address | Where the one-time password (OTP) is sent |
| Company registration number | The RAK ICC registration number of the company |
| Document number | From the document — case sensitive; enter the exact alphanumeric characters |
| reCAPTCHA | Confirms you are not a bot |
| OTP | Emailed after you submit; entered to complete verification |
Two practical points follow. First, enter the document number with no extra spaces and with upper- and lower-case letters exactly as printed — the system distinguishes between them. Second, the details must match the RAK ICC database; if the name, registration number or document number is spelled incorrectly or has stray spaces, verification cannot complete. When a document genuinely will not verify despite correct entry, that is itself information worth acting on.
What if a RAK ICC document has an error or fails verification?
There are two different situations here, and they are handled differently. The first is an error found on a freshly generated document before it is relied upon; the second is a document that fails verification or shows discrepancies when checked.
For an error on a newly generated document, RAK ICC provides a data-correction route through the agent portal. The relevant step on the service request is returned to the registry with the correction described in a comment, the registry’s processor makes the correction and updates the document, and the correspondence email then receives a notification. The corrected document can be previewed and downloaded by logging back into the portal and opening the service request. In short, a mistake on a generated certificate can be fixed rather than reissued from scratch.
For a document that fails verification — or where the verified copy does not match the document in hand — the right response is to notify the RAK ICC registry. A mismatch can indicate a document that has been altered, is out of date, or was never genuinely issued, and none of those should be accepted at face value. This is precisely why the verification step exists: it turns a document you would otherwise have to trust into one you can check.
Why does digital document verification matter for banks and counterparties?
Because it replaces trust with proof. Before secure electronic issuance, a certificate was only as reliable as the recipient’s willingness to believe the PDF in front of them — and offshore documents were a known target for forgery and alteration. Verifiable digital documents let a bank, regulator or counterparty confirm authenticity directly against the registry.
For banks and professional counterparties, that assurance is central to their own compliance. When onboarding a company or conducting due diligence, they need confidence that the incumbency, good standing or ownership documents are genuine and current. Independent verification against RAK ICC removes the risk of relying on a doctored or stale certificate, which supports their AML and KYC obligations as much as your own.
For you as the owner, the benefit is credibility. A RAK ICC certificate that a counterparty can verify in minutes carries far more weight than one they cannot, and it speeds up account opening, transactions and tenders. It is worth making sure the document you hand over is current and matches the registry — which comes back to keeping the company’s record and registered-agent filings up to date.
Key terms used in RAK ICC document verification
The process uses RAK ICC and verification terminology. These are the terms worth having clear.
| Term | What it means |
|---|---|
| RAK ICC | Ras Al Khaimah International Corporate Centre — the registry for International Business Companies in Ras Al Khaimah |
| Document number | The unique, case-sensitive code on a RAK ICC document used to verify it |
| Certificate of Incumbency | Confirms current shareholders, directors and secretary of the company |
| Certificate of Good Standing | Confirms the company validly exists and is compliant and not being struck off |
| OTP | One-Time Password — a code emailed during verification to confirm the request |
| Register extract | An official extract of the shareholders’, officers’ or UBO register |
| Registrar | The RAK ICC official whose signature the electronic documents carry |
| Data correction | The registry process for correcting an error on a generated document |
Treat RAK ICC documents as two-way: obtain the right certificate for the purpose at hand, and verify any document you receive before you rely on it. Requested through your agent against an up-to-date record and checked against the registry when it matters, a RAK ICC certificate is a genuinely reliable piece of evidence — and knowing the corporate tax nuance behind the Tax Exemption certificate keeps you out of the most common trap.
