The Meydan Board Resolution for Company Cancellation: What It Must Contain

You start the Meydan cancellation online, sail through the first steps, then hit document submission — and it wants a board resolution. That's where most people stall. Here's exactly what it needs.

Short answer: Meydan's online cancellation asks for a shareholder(s) resolution at the document-submission step — recording the decision to wind up the company and naming your liquidator (an authorised auditor). It must be on Meydan's current official template (recently updated), and complete: company name and licence number, date, subject, liquidator name and credentials, the share-cancellation clause, and signatures. We prepare it on the latest template — we just need your trade licence and the liquidator's details. Then the rest of the online cancellation can proceed.

Closing a Meydan company through the portal is mostly smooth — until step 3. You choose the licence, answer the cancellation questionnaire, and then the system asks you to upload a board resolution, and suddenly you're stuck, because you don't have one and it isn't obvious what it should say. It's the single most common sticking point in a Meydan cancellation, and it's easily solved once you know what the document is and what it must contain.

What is the board resolution, and why does Meydan want it?

A Meydan cancellation is a voluntary winding up of the company, and the law and the free zone both want the owners to have formally decided that. The shareholder(s) resolution is that formal decision, in writing: it records that the shareholders resolve to wind up and cancel the company, and it appoints the liquidator who will close the accounts. Meydan requires it at the document-submission step of the online cancellation, alongside a bank account clearance or account-closure letter where one applies.

Without it, the application simply cannot move past that step. It isn't a long or complex document — but it has to be the right format and correctly filled in, or the portal (or a Meydan reviewer) will bounce it.

Use Meydan's current template — not your own, and not an old one

Two traps here. First, use Meydan's official template, not a generic board resolution of your own — the portal expects Meydan's prescribed cancellation-resolution format, and a home-made version can be rejected. Second, and more easily missed: Meydan has recently updated the template, so a copy you used before, or one a previous provider gave you, may no longer be the accepted version.

What the resolution must contain

The current Meydan cancellation resolution is short, but every field has to be right:

A missing licence number, or the liquidator's credentials left blank, is enough on its own to have the document returned — so it's worth getting right the first time rather than cycling through rejections.

Why the resolution names a liquidator

The field people most often can't complete is the liquidator's name and credentials. It's there because a voluntary cancellation needs a liquidator — an authorised auditor — to close the final accounts and issue the liquidation report Meydan requires to cancel the company. The resolution formally appoints that liquidator, so Meydan asks for the firm's name and registration number in the document itself.

This is why the board resolution and the liquidation report go together: the resolution appoints the liquidator; the liquidator then produces the report. The current Meydan cancellation resolution captures: the company name and licence number; the date; the subject (voluntary winding up of the company); the liquidator’s name and valid credentials; a resolution clause confirming that each shareholder’s shareholding interest in the company is cancelled as at the date; and the signature(s) of the shareholder(s). It is short, but every field matters — a missing licence number or liquidator credential is enough to have it bounced.

The resolution formally appoints that liquidator, which is why Meydan asks for the liquidator’s name and valid credentials (firm name and registration details) in the document.
