Meydan shareholder resolution for company cancellation: the five things it must say

The first upload on the Meydan cancellation portal is labelled "Board resolution". For an FZ LLC that means the shareholder(s) resolution for company cancellation — and Meydan reads it against the liquidation report line by line.

The very first upload on the Meydan Free Zone cancellation portal is called "Board resolution", and for an FZ LLC that document is the Shareholder(s) Resolution for Company Cancellation. It is a one-page document, but Meydan's reviewer checks it against the liquidation report and the licence, and the FTA later uses its date as the cessation date. The layout Meydan expects

Meydan does not publish a mandatory form, but the resolutions that pass without query share the same skeleton: a heading, a two-row company table, a recital, a resolutions table and a closing clause.

The five things that must match across resolution, report and licence

  1. Company name, character for character"L.L.C-FZ" with the hyphen, as printed on the licence. A resolution for the company's former name is rejected if the name changed during the licence year.
  2. Licence numberIncluding the ".01" suffix Meydan uses for the first licence of an entity.
  3. LiquidatorThe firm and person named here must sign the report uploaded as the clearance from external authorities letter. Fastlane's signing details go on both documents from the same template.
  4. Date sequenceResolution date ≤ liquidation report date ≤ portal submission date. The report's balance sheet is drawn up as at the resolution date.
  5. ShareholdersEvery shareholder on the licence signs. For a corporate shareholder, the authorised signatory signs and attaches the parent's resolution or POA.
⚠️ The resolution date starts the FTA clock
Corporate Tax deregistration must be applied for within three months of cessation, and the FTA takes the winding-up resolution as the cessation event. A resolution signed on 8 September 2026 means a CT deregistration deadline of 8 December 2026, regardless of when Meydan issues the cancellation certificate. Two shareholders, or a corporate shareholder

Where the company has more than one shareholder, section B is executed by each of them and the conclusion in section A applies to "each Shareholder's shareholding interest", which is why the template uses the plural in brackets. Meydan will compare the signatures to the shareholder list on the licence and the passport copies on file. Where a shareholder is a company, the person signing must be its authorised signatory; attach the parent company's board resolution approving the winding up of the Meydan subsidiary, or a power of attorney, as a second page of the same PDF. If a shareholder is overseas and cannot sign in time, a scanned signature is accepted for the portal upload, but keep the wet-ink original for Meydan to request later. A resolution signed by only some of the shareholders is the single most common reason the "Board resolution" slot is queried.

What the resolution does not need

No notarisation, no Meydan stamp before upload, no reference to the AED 2,020 immigration card cancellation fee, and no list of assets. Bank closure is handled by the separate declaration and slot in step 3, and the financial position lives in the liquidation report. Keeping the resolution to one page with these seven data points is what gets it through unchallenged.

⚠️ The order Meydan enforces
1) Cancel every employee and investor visa → 2) cancel the immigration (establishment) card → 3) only then can the licence cancellation application be filed. The portal states this on the very first screen: "The cancellation of all visa/s and immigration cards must be completed before proceeding with the cancellation of the Company Formation." Worked example: sole shareholder, dormant company

A Meydan FZ LLC with one individual shareholder, no visa and no bank account resolved to wind up on 8 September 2026 naming Fastlane's partner and registration number as liquidator. Because there were no transactions, the dormant-company liquidation report was issued on 10 September at the resolution date showing share capital of AED 10,000 unpaid and a nil net position, with a line confirming no bank account was ever opened. Both PDFs were uploaded on 11 September, the three declarations ticked, AED 2,020 paid. The reviewer raised no query; the file cleared after the 15-day notice (timeline detail). The FTA deregistration was filed on 20 September, well inside the 8 December deadline, and the whole closure cost AED 2,020 + AED 1,999 = AED 4,019.

The portal slot is called 'Board resolution', but a Meydan FZ LLC files a Shareholder(s) Resolution for Company Cancellation. Where the shareholder is also the sole director it is the same document.

What must the Meydan cancellation resolution contain?

No. A signed and dated resolution on plain paper, uploaded as PDF, is accepted for the portal application. Meydan may ask for original signatures if the shareholder is a corporate entity.

Can the liquidation report be dated before the resolution?

It should not be. The resolution appoints the liquidator; a report dated earlier than its own appointment is a common reason for a query.
